Experience
Scott focuses his practice on corporate transactions. He has extensive experience in mergers and acquisitions across a wide range of transactions, representing buyers, sellers, special committees, financial advisors and investors in public and private mergers, acquisitions, tender offers, hostile contests, leveraged buyouts, spin-offs and venture capital transactions. Scott’s M&A practice has spanned a variety of industries with a particular emphasis on cross-border transactions and complex joint ventures. He advises clients on corporate and securities laws, governance issues and U.S. Securities and Exchange Commission compliance and reporting matters.
He has recently represented:
- Deutsche Börse AG in its merger with NYSE Euronext Group to create the premier global exchange group (pending)
- a consortium of investors, including Government of Singapore Investment Corporation, China Investment Corporation, Ontario Teachers’ Pension Plan Board, Abu Dhabi Investment Council, J.C. Flowers & Co. LLC, RIT Capital Partners and Lord Rothschild’s family interests, the Santo Domingo Group, EXOR SA, the investment company controlled by the Agnelli family, and Inversiones Bahia, the holding company of the Motta family, in their US$1.8bn investment in Banco BTG Pactual SA, the leading investment bank in Brazil. This deal was named 2011 Private Equity Deal of the Year by LatinFinance

- New York Life on the sale of its businesses in Hong Kong and South Korea to ACE Group

- Sierra Wireless on its “white knight” acquisition of Wavecom SA in a dual French-U.S. tender offer

- Tom Group, Inc. in its going private bid for Tom Online Inc.
- Critical Care Systems International, Inc. in its sale to Accredo Health Systems, Inc.

- CITIC Group in its proposed bid for the public float of Asia Satellite Telecommunications Holdings Ltd. and subsequent mandatory offer
- Compagnie Générale de Géophysique in its US$3.1bn acquisition of Veritas DGC Inc.
Scott also regularly advises on executive compensation matters and the securities, tax and ERISA laws impacting employee benefits in the context of corporate transactions and initial public offerings.
